This is a great article with solid and proven steps to implementing an integration of two companies. Executives and shareholders often overlook the most critical piece of any integration, the people! I have seen executives spend countless hours on the due diligence of technology, sales channels, and financials, only to fail or not see the full potential of the transaction come to realization. This is often due to the lack of time and resources allocated to analyzing the corporate cultures, management systems, incentives and pay structures, etc. Additionally, not having clarification of each firm's value proposition is also a common mistake as this element of a business tends to shape the operating structures and culture.

The primary motive that plays an intergral role in M&A activity is the presence of management HUBRIS (ego) because their compensation tied to how well they perform, and they go to extended means to acheive the desired results. Secondly, the management is overly confident that they are able to use synergies if combined, at the end they pay a premium for the target firm than it is worth. These factors should be disemminated within the managment's philosophy.

Hi,
I liked the article very much. However, I think in real life most of the work is done by the financial advisor. Starting from step 3, most of the companies will hire a financial advisor to make all the heavy work. Few companies actually will have expert personnel that can be dedicated to such an area.
